# Anthropic's S-1 shows $16.3 billion in first-half revenue, an $80.7 billion net loss and noncancelable compute contracts with its own investors

Second-quarter revenue of $11.6 billion more than doubled the first quarter, and Anthropic's largest disclosed compute contracts run at least $114.5 billion with Google, $110.0 billion with Amazon Web Services and $44.9 billion with Microsoft.

Anthropic, PBC [filed a Form S-1 registration statement](https://www.anthropic.com/news/s1-sec) with the Securities and Exchange Commission (SEC) on October 26 for an initial public offering (IPO) of Class A common stock. The shares would list on the Nasdaq Global Select Market under the ticker ANT. The [prospectus](https://www.sec.gov/Archives/edgar/data/0002130357/000162828026067168/anthropicpbc-sx1.htm) is the first audited view of a frontier lab's finances, and it replaces the run-rate figures that have circulated in private funding rounds.

Anthropic reported [$16.3 billion in revenue for the first six months of 2026](https://fortune.com/2026/10/26/anthropics-s-1/), against $4.6 billion for all of 2025. Revenue [rose from $4.7 billion in the first quarter to $11.6 billion in the second](https://finance.yahoo.com/technology/live/anthropic-ipo-live-updates-frontier-ai-lab-discloses-revenue-and-risks-in-highly-anticipated-s-1-filing-141702607.html). Four times the second-quarter figure is roughly $46 billion a year. The first-half net loss was $80.7 billion, but [$72.4 billion of it is a non-cash charge](https://cryptobriefing.com/anthropic-s1-filing-ipo-release/), and the company booked $974 million of operating income in the second quarter.

Compute obligations are the largest number in the filing. A [line-by-line accounting](https://www.kucoin.com/news/flash/anthropic-s-s-1-filing-reveals-602-billion-in-compute-commitments-and-profitability-risks) puts capacity commitments at $602 billion to $627 billion. That includes at least $114.5 billion with Google, $110.0 billion with Amazon Web Services and $44.9 billion with Microsoft, all noncancelable unless the supplier commits an uncured material breach. Zvi Mowshowitz, who [read the full prospectus](https://thezvi.wordpress.com/2026/10/28/anthropic-files-its-s-1/), estimates total commitments nearer $800 billion and notes a risk factor that warns about compute prices falling while Anthropic is locked into multi-year rates. [Futurum](https://futurumgroup.com/insights/frenemies-in-the-cloud-anthropics-ipo-and-its-hyperscaler-reliance/) points out that the same companies sell Anthropic its compute, hold large stakes in it and build competing models.

Public buyers get little control. According to Mowshowitz's reading, a single Class F share held by a founders' collective carries 50.1% of voting power on ordinary matters regardless of later issuance. The Long-Term Benefit Trust (LTBT) appoints a majority of the board through Class T stock, and Amazon and Google hold non-voting Class N shares. On October 18 Anthropic also said it would [commit 5% of its shares to a Public Benefit Fund](https://www.anthropic.com/news/public-benefit-fund) organized as a wholly owned LLC, whose stake grows with the company's valuation.

The S-1 states no target valuation. Some current and prospective investors [now value the company at about $1.5 trillion, down from about $2 trillion a week earlier](https://shattered.io/anthropic-ipo-valuation-1-5-trillion-big-tech-ai-spending-2026/). Under SEC staff practice, the [earliest Anthropic could begin marketing the shares is November 10](https://tastytrade.com/learn/markets/industry/anthropic-ipo/), and a debut before Thanksgiving is targeted.

## What this means

Investors are buying revenue tied to token prices, while Anthropic's compute costs are fixed under long-term, take-or-pay contracts. Anthropic is exposed through price, and its cloud suppliers are exposed through how concentrated their business with Anthropic has become. Anthropic itself cut Opus-tier list prices by 20% in September, and its own risk factor warns that falling compute prices would hurt the company. Taken together, those facts mean revenue per token can fall faster than Anthropic's contracted cost per token. Google, Amazon and Microsoft are suppliers, shareholders and competitors to Anthropic at the same time, so the cloud revenue they book from Anthropic depends on Anthropic's ability to keep raising capital. Most observers treat the second-quarter jump as a durable run rate. The filing supports a different reading: one strong quarter set against commitments roughly forty times first-half revenue. The clearest precedent is the late-1990s fiber-optic buildout, when Global Crossing and other carriers signed long-dated capacity contracts based on demand forecasts that proved too high, and those contracts became liabilities once unit prices fell. The more likely outcome is that the IPO prices within weeks near the lower $1.5 trillion figure, and that the public share price becomes the reference point for OpenAI's and other private labs' valuations by early 2027. That outcome depends on the market for new share issuance staying open through the roadshow. An amended S-1 showing third-quarter revenue flat or down from $11.6 billion would disprove this reading.

## What to watch

- Third-quarter numbers in an amended S-1. A third quarter well above $11.6 billion would support the run-rate reading, and a flat one would move valuation talk lower.
- Whether Google, Amazon or Microsoft restate how they recognize Anthropic-related cloud revenue or equity gains once Anthropic's shares have a public price. That would show how much of their reported AI growth depends on one customer.
- Pricing relative to the roughly $1.5 trillion investor figure. A deal priced well below it would show public buyers discounting the voting structure and compute obligations that private investors accepted.
