The order requires each token to carry the dividends and voting rights of the real share, caps listings and volume, and excludes the synthetic stock tokens sold offshore.

The United States Securities and Exchange Commission (SEC) issued an order on September 17 granting temporary, conditional relief from the definition of an "exchange" under the Securities Exchange Act of 1934, so that a new category of venue can trade tokenized national market system (NMS) stock using permissioned automated market makers and liquidity pools. The SEC's order, which the agency calls an Innovation Exemption, expires five years after publication and comes with a request for public comment.
The conditions matter more than the headline. A venue must confirm that any token it lists conveys the full set of economic and governance entitlements of the equivalent conventional share, including dividends and voting rights, and it faces caps on how many symbols it may list and how much volume it may handle, CoinDesk reported. Transparency, recordkeeping and technology-safeguard requirements apply. Synthetic tokens and derivatives that merely track a share price stay outside the framework, which removes the regulated path from the offshore products that have carried most tokenized-equity volume so far.
The timing is the political story. The exemption landed two days after the Senate failed to advance the CLARITY Act, the broad market-structure bill the industry spent two years lobbying for, and CryptoSlate framed it as the agency opening a path into a $77 trillion equity market that legislators declined to define. Relief granted by order can be narrowed, conditioned or allowed to lapse by a future commission. Statute cannot.
The immediate beneficiaries are tokenization firms, liquidity providers and trading venues built on public chains, CoinDesk noted, and one of them already has scale. Robinhood Chain secures $2.96 billion, up 6.5% over the past seven days according to L2Beat data, and sits at Stage 0, the classification for rollups whose operators retain centralized control over upgrades. That combination defines the contest ahead: real securities settling on chains whose governance is not yet permissionless, inside pools that are permissioned by design.
The order's language returns again and again to one word: permissioned. Tokenized equities are arriving on public infrastructure, but with gatekeeping at the pool level, identity requirements at the venue level and volume limits set by the regulator. That is closer to a licensed venue that happens to use a blockchain than to open composable markets.

Tokenized Equities Push Onto Public Blockchains
Over 3-6 months, exchanges and banks accelerate moving real equities on-chain — tokenized stocks with on-chain dividends and composable trading — turning the contest over open vs. closed tokenization venues into a concrete product race.

Tokenization firms, on-chain venues, liquidity providers and brokers capture a share of equity order flow, incumbent exchanges and clearing intermediaries lose fee and market-data revenue, and the current commission gains authority over market structure that Congress declined to grant by statute.
The order itself is fully documented by the SEC, Reuters and CNBC, but the causal framing is the disputed part: the agency had been building a tokenized-stock framework since at least May 2026 and Chair Paul Atkins presents it as a bridge toward durable rulemaking, so the two-day gap after the CLARITY vote establishes sequence rather than cause, and the coverage largely omits both the issuer opt-in and the objections filed by Wall Street firms and the World Federation of Exchanges.
An open-source-intelligence read of how likely this story is true with its real nuance, not a judgment of any outlet. It assesses the claim, weighing independent and adversarial reporting. How we label confidence.
What this means
This affects equity trading fees, market-data revenue and settlement float. If tokenized venues win volume, incumbent exchanges and clearing intermediaries lose a slice of order flow and the tokenization and infrastructure providers gain it, while issuers face a second trading surface for their own shares with on-chain dividend and voting plumbing they must support. Because the relief is an agency order rather than a law, the entire build-out depends on the discretion of whoever chairs the commission for the next five years, so capital committed to these venues carries policy risk that a statute would have removed.
